In an interview with the site, Sergei Netievsky explained why a conflict arose in the team, who was threatening him with criminal cases, and whether a reunification of the Ural Dumplings was possible.

“Everyone knew the working conditions”

— You're talking about a show that was sold STS TV channel? Which of the three companies entered into a cooperation agreement with STS?

— Yes, I’m talking about the television project of the Ural Dumplings team, which was regularly broadcast on STS. Since 2009, all agreements with the channel have been concluded by the VBD Group company, and since 2012 - by Idea Fix Media.

— If the creation of the show’s content was done by the artists and authors of “Ural Dumplings,” and the employees of “Idea Fix Media” were involved in the filming, organization, promotion and sale of the finished show on “STS,” then who, in your opinion, was responsible for in this case Do you own the rights to the archives of these recordings with the right to further use?

— The first 27 concerts belong to VBD GROUP JSC. And since 2012, when Idea Fix Media began producing the show, all rights to the archives began to belong to it.

— The current director of Ural Pelmeni Production LLC, Evgeniy Orlov, in his interviews in the media claims that you “received income from selling shows to TV channels, hiding it from the team for three years (from 2012 to 2015.”) Allegedly, you told the team that they work for fees, and the guys believed this version, and at that time you were pocketing the money. Explain on what terms the cooperation with STS was carried out. How was the income of the artists and the production company formed?

— Evgeniy Orlov has a substitution of concepts in the issue of remuneration. It was as if everything that the production company and I as a producer earned had to be shared with the team. Producing work is different from the actors and authors, the enormous labor involved in producing a show. It doesn’t happen by itself! The guys didn't do anything as producers.

“Ural Dumplings” again filed a lawsuit against its ex-director Sergei Netievsky

The team performed the functions of actors and screenwriters, so the production company entered into contracts with them, as with actors and authors. And they received a fee for each episode of our show. By the way, these agreements were concluded with him by Evgeny Orlov, who was then general director"Idea Fix Media" and worked by proxy. The guys knew about all the conditions of their work. How could I mislead them for so many years? They knew about the production company and that I was working as a producer to create the show. Of course, Idea Fix Media, as a production company, also received its income for its work. This is the media business!

By the way, after we launched the show on STS, the actors began to receive a separate percentage from each showing of the show from Idea Fix Media. Previously, they did not have these conditions. This is my plus as a producer - I achieved this for the team.

“Orlov withdrew money from the company in favor of third parties”

— Currently, the Moscow Arbitration Court is considering several claims from your company Fest Hand Media against its subsidiary Idea Fix Media. You are trying in court to challenge the loan agreements that Evgeny Orlov entered into as the general director of the Idea Fix Media company. What was the reason for filing these lawsuits? Have you begun to suspect your former colleague of something?

— The shareholders and founders of Idea Fix Media conducted an audit and found out that Orlov was withdrawing money from the company in favor of third parties precisely through loans. And he did not coordinate all these transactions with the founders. We believe that Orlov acted illegally. And the court will look into this. Actually, that’s why Orlov was fired from the company, because he began to act opaquely.

— What damage did Idea Fix Media receive from these uncoordinated loans, according to the audit?

— We filed claims with the Moscow Arbitration Court for total amount over 100 million rubles. I'm afraid I'll be wrong, it seems to be 107 million rubles. These are loans in favor of legal and individuals.

— But if Orlov is now fired, then from whom in your own subsidiary do you want to demand compensation for losses?

— We are suing Idea Fix Media as one of the shareholders, and, as far as I know, the second shareholders of the company (VBT Group JSC) are joining this lawsuit. They have already stated this in court. The lawsuit was not filed against Orlov personally , and based on the results of his activities at Idea Fix Media, let the court decide who will pay. Probably, it will be the companies to which he gave loans.

“We have repeatedly called on the team to negotiate”

— Also in the Moscow Arbitration Court there are claims from Fest Hand Media against Ural Pelmeni Production LLC. You demand that your company be given back the right to dispose of archival recordings of the Ural Dumplings’ performances at STS. How did it happen that this right, previously owned by Idea Fix Media, was transferred to Ural Pelmeni Production?

— Evgeny Orlov, taking advantage of his position, withdrew the licensing rights for all concerts from Idea Fix Media in favor of the Ural Dumplings Production company, where he later became the general director. He also did not coordinate this action with the shareholders of Idea Fix Media. You see, the actors, the writers, and the production company that produced the show have the rights to record these concerts. The procedure for using these rights must be negotiated. And we repeatedly called on the team for these negotiations when disputes began between us. But Orlov decided to act in his own way.

— Sergey, none of your companies are in any way connected with Ural Dumplings. Why do you need the rights to recordings of their concerts? You just don't want to miss out on the potential profits you could make from selling those archives on TV again?

- We want legality! Audiovisual works must belong to those who produced them. How can people who did nothing as producers for the show claim, let alone take, the fruits of someone else’s labor? It's not fair. And, yes, of course, this is a business issue.

— It turns out that Evgeny Orlov carried out all the illegal actions, according to you, while being your subordinate. In fact, all the machinations you are talking about were carried out under your nose. How could you not notice this?

- I don’t go with him all the time! He acted by proxy. Evgeny Orlov was responsible for this. The founders look at the reports once a year. Yes, we gave the company some recommendations and were involved in its strategic development. And he was in charge of operational activities.

— Between you and Evgeny Orlov there is some kind of personal conflict? He used to work for you, then, as you claim, he committed these frauds, and now he works for his opponents.

— When Orlov worked as a manager at Idea Fix Media, he also received his own income. At some point in time, Orlov began to claim bonuses (profit from production income, which did not depend on him. The shareholders deprived him of part of the bonuses, to which he was terribly offended and told me: “I’ll arrange it for you.” I think that’s why he arranged such a revolution between us.

“It would be great to write everything down like in a marriage contract”

— Let’s go back to that period of “Ural Dumplings”, when you were still the director. Why did your company only have a charter, but no corporate agreements or written partnership agreements between the actor-shareholders? After all, then none of the artists would be able to be guided by their idea of ​​justice. Potential steps for each of you would be discussed in advance.

— “Ural Dumplings” had minimal activity at that time. We did not burden ourselves with additional documentation. But, probably, it would be great if we concluded them and spelled out everything, as in good marriage contract. But when people start joint activities, they do not always think about how they will need to part.

— But, by the way, this is precisely why the conflict with your dismissal from Ural Dumplings occurred in 2016. The artists could not fire you legally, since for this, according to the charter, your consent was also needed. And if you were going to leave the team anyway, why did you prove in court the illegality of your dismissal? Is this a matter of principle?

“I was fired illegally without even notifying me of the meeting.” I had to return to the post of director of Ural Dumplings in order to accept the combined trademark “Ural Dumplings” from the Fest Hand Media company. The situation is this: the text of the trademark (the name of the team. It was invented by the team, it graphic image— design team of “Fest Hand Media”. As a producer, it was simply convenient for me that these trademarks be combined into a production company, that is, into Fest Hand Media. When there was a breakdown in the team, Fest Hand Media decided to give the guys a trademark so that they could use it. But the guys themselves just didn’t want to take him. That is, they used it, but they wanted to get it only through the courts. Therefore, I had to prove that I was fired illegally, return to the position of director at the Ural Dumplings Creative Association LLC and accept the trademark. After that I left.

That is, instead of resolving everything peacefully, the guys sued me, as if I had once illegally appropriated a text trademark. But that's not true. When I was a producer, I combined a text trademark with a graphic one for the team. And when our relationship ended, I did not prevent the guys from continuing to use it. I gave away the trademark for only 2 rubles. But they are still trying to take away the trademark, which they already own, through the court! The decision has entered into legal force and there is no subject of dispute. They have a sign. All the courts are just for the sake of hype in the media, for the sake of putting pressure on me so that I withdraw my claims from the arbitration court. It is obvious.

- You know, from the outside this story looks absurd, really.

- But that's how it is. Word by word.

— Over the last week, quite a lot of material has appeared in the media that you left your wife with three children and accumulated a child support debt of about 1.5 million rubles. This is true?

— These are dirty fake articles, not supported by facts. Yes, my wife and I separated a long time ago, and all our property issues have been resolved. But as soon as we (the company "Fest Hand Media" filed two large lawsuits for the illegal actions of Evgeny Orlov, these dirty articles below the belt immediately appear in the media. Why do you think this is being done? Moreover, Orlov's representatives , they threaten me with criminal cases. Obviously this is pressure so that I refuse to go to court!

— One way or another, the story of your relationship with Ural Dumplings is over. What are Fest Hand Media doing now?

— Life at “Ural dumplings” did not end. We are doing other projects.

— We all talked and communicated for a year and a half. As you can see, nothing has worked out yet. I very much doubt that a reunion is possible when there are “weapons sellers” next to the guys. I am ready to negotiate to leave disputes in the past and for everyone to move on in their own direction. This is the most correct way out. There is no need to cling to the past.

Sergey Netievsky: We are launching the “League of Improvisations”, this is the first All-Russian festival. We unite all groups that engage in the genre of improvisation. This is a new movement, we have been moving it for three years together with Sasha Pushny in our “Show from the Air”. The show on TNT appeared with same name. Sasha: Sergei was born on the banks of Tagil, studied at the Ural Polytechnic Institute, was even a store director - and where, one wonders, is the humor here? Sergey Netievsky: There was a lot, yes.

Lena: Sergey, you have an engineering degree in an absolutely humanitarian field. Is this truly universal education?

Sergey Netievsky: You can say that I work in my specialty. My specialty is mechanical engineering technology. So the technology, it is actually the same in the production of the show, the same stages. Everything is divided into small stages, you must complex tasks divide into easy paths and quietly move progressively from one to another in order to achieve results.

Lena: How did you get into KVN? University team?

Sergey Netievsky: Yes, of course, a university team. It was a long time ago, 1994, we started playing in KVN, got into the major leagues and off we went. This is in the past, now I am more interested in the projects that I do, starting from the huge background that I had as a student, when I was doing KVN, when I was doing the show. Now I want to do something new, the world is moving.

Sasha: Comedians, as a rule, dream of playing Hamlet, of drama. Don’t you want to try something unfunny or sad?

Sergey Netievsky: I really want to. I really want to play something non-humorous. I go to both directing and acting courses. Of course, there is such a distant, deep, I hope, achievable dream, to play some kind of dramatic role.

Sasha: Sergey, the name seems clear, “League of Improvisations”, that is, no framework at all?

Sergey Netievsky: One might say, practically none. We have several engines, several improvisational forms in which we will play. We are now collecting applications from all interested teams, there are not many of them, we know almost all of them. There are about 20 groups that work professionally. Lena: What are the application requirements?

Sergey Netievsky: The name of the group, a short resume of where you are participating and, preferably, send at least some video so that we can see how the guys behave on stage. Next we select and invite you here. We will have three days: April 8, 9 and 10 at the Central House of Artists. There will be qualifying games, master classes, trainings, brainstorming sessions, and the generation of new ideas. We have an interesting, extensive program there.

Lena: Will there be a winner and what awaits him?

Sergey Netievsky: Yes, there will be a winner. The title and money are usually of interest to everyone. On April 10 there will be a gala concert, which will include the best teams, and they will compete for the title of best improvisational group.

Sasha: Sasha Pushnoy is with you in this project. So there is also a musical part?

Sergey Netievsky: We are currently negotiating with Sasha Pushny, there is an idea to do musical improvisation inside. What are we doing? We have complete improvisation: improvisation with a partner, with text, with space, with music, with a stage, with an audience. You try to liberate your brain in all directions. This is a very interesting direction, which is why we are trying to promote it.

Lena: How interesting is it to the viewer?

Sergey Netievsky: Here’s the point: not everyone will make it to the gala concert, but only those who can create some kind of integral story in a short time on stage so that it is clear to the audience. It's interesting to watch. This is an entertaining and humorous project.

Lena: For those who can't see it live, will there be a TV version?

Sergey Netievsky: We will film a pilot, which we will send to a TV channel. We really hope this turns into a show.

Sergey Netievsky: It would be unexpected. The air is cleaner there.

Sergey Netievsky: There were times when I was betrayed, but I am not vindictive. I quickly cool down and forgive. I approach this very philosophically. Everyone has the right to make a mistake and has the right to correct it.

Did you have a nickname in childhood and does it still remain?

Sergey Netievsky: Yes, there were, different. There are none left now. When I was a student, my name was Basyan or Basya, this is from the village where I come from. Village Basyanovsky.

There is a time machine in front of you, where will you go?

Sergey Netievsky: Oh. Immediately the thought arose to go back in time and correct some mistakes. It's more interesting to look into the future.

Sasha: Sergey, humor is a fickle substance, for example, I see two opposing trends: jokes have practically disappeared from life, but stand-up has become one of the most relevant genres. What happened to jokes? Why is stand-up growing so much?

Sergey Netievsky: Probably every humor has its time. There were jokes when there were a lot of prohibitions, some kind of allegory was needed. Now, in principle, there is no particular censorship; you can talk about anything you want. A stand-up comedian is a person who lets himself through and gives the viewer information, his attitude to the topic he is talking about.

Lena: Sergey, let’s say a guy or girl is a great joker, the life of the party. What's next? Do you need to penetrate the big media in any way - TV, radio? Or maybe a good video channel, say on Youtube, will be enough?

Sergey Netievsky: There are so many opportunities on the Internet now. You can shoot a video at home at minimal cost and post it on the Internet. In principle, you can promote yourself via the Internet.

Sasha: KVN has always been a good place to start, how are things going now?

Sergey Netievsky: Similar. This is still a source of talent. Those who come out of there, they are all in demand.

Sasha: Sergey, you also have a project called “Theatre Games”. Are you aiming for serious dramatic art or are these primarily games?

Sergey Netievsky: We are launching a casting call for STEM teams. These are groups that, as it happens, did not go to KVN and did not go to Comedy. Student theater of variety miniatures, but they are not exactly student theaters, they have turned into mini-studios, theater groups, mini-theatres. There are a lot of them around the country. There are about 15 festivals across the country where such groups compete. We want to collect them. Teams that have something to show can send their applications to stemshow.fxmedia.ru. First round – we select based on the video. Secondly, we help refine the materials they have. About 20 teams will be invited to Moscow, where filming and knockout games will take place.

Sasha: What kind of “Show out of thin air” then?

Sergey Netievsky:“Show Out of Air” is the improv show that started it all, and that’s where the “League of Improv” was born. This is what we did with Sasha Pushny, and are going to do in the future, together with Theater 05, this is our team from St. Petersburg, the best improvisers today. “Show from the Air” is a concert version, but we filmed a pilot and are showing it to TV channels.

Lena: TV series. Will you continue this experience?

Sergey Netievsky: I like to move more towards the show, something that I understand more how to do. TV series... There are mega-professionals, the guys on TNT - such a high bar.

History of conflict between participants comedy show“Ural Dumplings” with its former director Sergei Netievsky was previously known to the public mainly from the words of Netievsky himself. Your version of the development of events and the causes of the conflict. And we asked a lawyer who represents the interests in court to express his point of view former director show. Managing partner of the Yusta Aura law firm, Evgeniy Dedkov, explains in an author’s column on the website portal that “Pelmeni” could have prevented the conflict many years ago if they had complied with all the formalities on time.

The situation that happened with “Ural dumplings”, unfortunately, is repeated very often. Many creative teams step on the same rake, simply because all agreements between the participants are conceptual in nature: everyone understands their role in their own way; agreements are not written down on paper.

What Ural Dumplings initially did was not a business, and therefore the nature of the organization and all relationships between participants was informal. The same thing happens, for example, with musical groups. Legal status " musical group" does not exist. The group is a creative team, an association within general activities. Guys just get together and do something. On initial stage it is unknown whether the musicians will remain playing in the garage or start earning money, so the relationship between them is not formalized legally.

From this point of view, the important moment is when the first money appears in the project when it comes to monetization. This is the transition of the team from simple pastime to commercial activity. And this stage is many creative groups miss and make mistakes.

The moment money appears in a project is a fundamental factor that makes changes and affects organizational relationships. Because the question immediately arises: who is the formal leader? At this stage, the ideas of participants in formations that were initially informal in nature may diverge.

An example is the Ekaterinburg group Do-up, which at a certain stage broke up. There was part of the team with Alexander Bogomolov, who was the founder, musician, song creator, etc. And there was the second part of the group - Vadim Shakurov, who was a PR manager and dealt with financial issues. Both considered themselves leaders of the project, and each had reasons for this. Everyone had their own truth, but there were no clear agreements. When the group broke up, Shakurov lured the vocalist to himself and used his resources as the group's contact representative to switch over to himself cash flows.

Every time everything happens the same way; it is important for creative teams not to miss the moment of transition to commercial activity and to clearly build relationships between project participants. From an organizational point of view this means that the relationship needs to be formalized by creating a joint business company, most often this is a society with limited liability.

Returning to the “Ural dumplings”, it should be noted that they accomplished this point - they created LLC "Creative Association "Ural Dumplings", where, according to the formal distribution of roles, each team member received an equal share. That is, how they are used to interacting informally, such specifics of relations are reflected in the charter of the society.

But the problem with Pelmeni is that the organization was created simply as a formality. As an entity that has a current account where money from concerts or other activities can be received. They committed typical mistake: underestimated the importance of elaborating the provisions of the constituent documents.

Usually, due to insufficient legal literacy, people look on the Internet how much it costs to register an LLC, see a small cost and expect exactly that amount. The society is registered, people are given a charter, but no one really reads it. The charter is the main formalized document that regulates the relations of business partners, and therefore requires the most careful study. In the case of “Ural dumplings”, it included mutually exclusive provisions. It is obvious that the team members did not bother to read the document and understand what was written there. Therefore, they did not make sure that the charter stated how participants should act in certain situations.

To all creative teams who plan to engage commercial activities, can be given practical advice: You need to take maximum time to reflect the actual agreements on running a joint business in the constituent documents. The fact is that the current corporate legislation is very flexible, and most of the parameters of the relationship can be changed. This also applies to the distribution of profits between participants. It is not at all necessary that profits be distributed among the participants according to the shares prescribed in the charter. It can be distributed according to other parameters.

Also, corporate legislation provides such an important tool for regulating relations between business partners as corporate agreement. Since the charter cannot reflect the dynamics of development of relations between company participants depending on the occurrence of certain circumstances, this instrument allows you to agree in advance on how the corporate rights of participants will be implemented. For example, they may agree to vote a certain way on general meeting members of the company, provide for the obligation to sell shares upon the occurrence of certain circumstances etc. Unlike the charter, the information contained in the corporate agreement is not disclosed anywhere and is confidential. Ural Dumplings did not have such an agreement.

But in most cases, a corporate agreement is not enough to regulate the relations of business partners. Firstly, running a joint business is often not limited to using the only LLC. Secondly, there are things that are not regulated by law. Therefore, instead of verbal agreements, it can also be recommended to conclude written partnership agreement, in which it is possible to simulate various situations and determine which actions of partners will be correct and fair in these situations. For example, to determine the goals of the business, the principles on which entrepreneurs will conduct joint activities, distribute roles and areas of responsibility, determine the principles of profit distribution, and establish what will happen if any goal is achieved.

Unlike a corporate agreement, violating a partnership agreement will not entail legal consequences. But this does not mean that there will be no consequences at all. Thus, in certain situations, the court may recognize a violation of partnership agreements as an abuse of right, and this will be the basis for the recovery of damages caused. And if there is no such agreement, each partner will proceed from his own idea of ​​justice, and this will create fertile ground for conflicts. This is exactly what happened with “Ural dumplings”.

In my opinion, it was the lack of clear agreements that was the main reason for their conflict, because Sergei Netievsky did not commit any illegal actions. Working as director of a joint LLC "Creative Association "Ural Dumplings", he did not violate the rights of his teammates. However, the rest of the team accused Sergei of dishonesty. If the parties to the conflict had entered into a partnership agreement in advance, then it would have been possible to clearly establish whether the specific agreements of the team members were violated and whether there was in fact any basis for the accusations made. Since there was no such agreement in this case, the accusations made by teammates against Sergei personally seem incorrect to me.

In general, all the tools necessary to resolve relations between business partners, including creative teams, were invented a long time ago. They are actively used in the West, but in Russia, unfortunately, they often receive little attention.
